Due Diligence of the energy facility before the transaction
Due diligence of the Georgian company for compliance with local energy legislation. The process was carried out to determine whether the founders have rights to a stake in the company, its limitations and other possible risks that could jeopardise the possibility of a further transaction. The first draft of the sale and purchase agreement was also prepared.
IT company with offices in 17 countries worldwide
Legal support was needed for the company's entry into the new jurisdictions, including Georgia, Cyprus, Poland, and Kazakhstan. Assistance to new R&D centers on corporate and tax issues. The opinions on special regimes for IT businesses in Kazakhstan (Astana Hub), Russia (Skolkovo, Innopolis), and the UAE (free zones) have been provided to enable the company to be successfull in new market entry.
Pre-trial settlement of a dispute with a licensee
Working out a standpoint and conducting claims work on behalf of the client - an international IT group - in relation to a claim from a US licensee. REVERA audited the client's licensing agreements, analysed in detail software copyright provisions, confidentiality clauses and developed a plan to minimise the existing risks.
Copyright for importer of electrical equipment
For an international distributor, which is an importer of various electronics and software, REVERA organised work with IPOA (Intellectual Property Owners Association) to compile a list of goods that fall under the Law of Georgia ‘On Copyright and Related Rights’ and are subject to royalty payments.

Drafting a legal opinion on antimonopoly legislation, in which the REVERA team analyzed the necessity to obtain the antimonopoly authority's consent in connection with the transfer of shares within the group of companies, assessed the risks of the transaction taking into account the existing law enforcement practice and ensured cooperation with the National Competition Agency of Georgia.
